We estimate IT and digital transformation needs and will propose scenarios with estimated OPEX and CAPEX requirements to accelerate business transformation and leverage relevant technologies. We will also assess ability to execute and make recommendations.

Pre-deal buy-side technology due diligence.

Based first on buy-side due diligence, we assist in evaluating technology usage compared to industry best practices, identify risks and propose mitigation plans. We investigate all necessary dimensions including architecture and operations, front and back office solutions, middleware, websites, HR, third party contracts, IP, registered internet domains, cyber risks, on-going projects and capex, budgets and spendings. Our services also include synergies and stand-alone costs assessments. We deliver these services both through electronic data room access but also through site visits, management Q&A and local testing in all geographies needed.


Pre-deal sell-side assistance.

We provide all assistance needed through out the sale process combining both deep technology skills and a long experience of deal execution. Our services include carve-out scenarios and roadmap preparation, IT costs forecasting including dissynergies and opportunities, vendor due diligence, data-room preparation by selecting and sanitizing appropriate IT documents , deal execution risk assessment, stand-alone costs assessments and assistance with SPAs, TSAs and related mechanisms.


Post-deal value creation.

Between signing and closing, we structure an IT and digital transformation plan proposing either a savings-based self funded plan or a more ambitious transformational plan with a multi-year estimated pay back. We will also propose a technology roadmap to ensure Day 1 readiness and limit potential post-deal disruptions.
